IMPORTANT-READ CAREFULLY: This agreement ("Agreement") is a legal contract between you (either an individual or a single business entity) and Main Event Management Corporation (“MEMC").
BY PROCEEDING TO REGISTER FOR THE MODEL-NETICS WEB COURSE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT, INCLUDING THE CANCELLATION, TRANSFER AND SUBSTITUTION PROVISIONS AND THE WARRANTY DISCLAIMERS.
Without prejudice to any other rights, MEMC may terminate this Agreement if you fail to comply with the terms and conditions of this Agreement.

Registration and Participation
Registrations are accepted on a space available, first come, first served basis.
By completing a registration, the training candidate is in effect entering a binding agreement, and warrants that he/she has the necessary authority to commit the funds required for the training activity. Shared registrations are not permitted under any circumstances

MEMC reserves the right to refuse admission to registrants whose fees remain unpaid at start of the training.

Cancellation, Transfer and Substitution
MEMC
MEMC reserves the right to cancel its training engagements at any time and without prior notice.
Registered Candidate
Notice of a registered candidate's intent to cancel or transfer a registration must be made in writing to MEMC and is subject to the following terms:
A registered candidate whose written cancellation request is received 14 or more days prior to the start date of the Model-Netics Web Course is eligible for a refund minus a $250.00 cancellation fee. Such candidate may also transfer to the next available Model-Netics Web Course for no additional fee. The option to transfer may only be used once, after which non-attendance will be treated as a cancellation and forfeiture of the registration fee.
A registered candidate whose cancellation request is received 1-13 days prior to the start date is not eligible for a refund, but may transfer to the next available Model-Netics Web Course for an additional fee. The designated transfer fee must be paid in full before a transfer will be complete.
In lieu of transfer, a registered candidate who will not be attending a Model-Netics Web Course may substitute another student to take his/her place at no additional charge up to the day before the initial session of the web course for which he is registered. The request for substitution must be made in writing to MEMC prior to the initiation of the course, and all required registration information for the new candidate must be provided to MEMC at that time. It is the responsibility of the original registered candidate to ensure that the substitute candidate receives the course information and materials.
A registered candidate whose cancellation request is received on or after the commencement of the Model-Netics Web Course is not eligible for a transfer or substitution. Once a training activity has been initiated for a candidate, it will be considered delivered in full. There will be no exceptions to the policy on cancellation, transfer or substitution for any reason.

Proprietary Rights
All title and copyrights in and to the Model-Netics Web Course and other materials provided in connection with the Model-Netics Web Course (including, without limitation, any images, photographs, animations, video, audio, music, and text), including all accompanying printed materials, are owned by MEMC.

THE MODEL-NETICS WEB COURSE AND RELATED MATERIALS ARE PROVIDED "AS IS." MEMC DOES NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY UTILIZING THE MODEL-NETICS WEB COURSE AND RELATED MATERIALS. MEMC MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE.

Governing Law
This Agreement shall be governed by the laws of the State of Texas, USA.
