I CONSENT--WHAT DOES THIS MEAN?
We appreciate your interest in submitting material to MAIN EVENT MANAGEMENT CORPORATION. By giving us your consent, you are allowing us to legally use your submission. Please read the following and check “I CONSENT.”
By consenting I hereby expressly grant to MEMC, its affiliated companies, licensees, assigns, respective officers, directors, employees, agents and representatives (hereinafter, collectively, “MEMC”) a nonexclusive, irrevocable, perpetual, worldwide
license to use, reproduce, edit, transmit, display my comments and/or submitted materials (hereinafter, “Materials”), or any portion thereof, in print, or by any means and in any medium existing or which may exist in the future, in all forms of advertising, publicity, promotion and other trade purposes for MEMC, its products and services, and in derivative works which can be distributed to the public for sale.
By consenting, I am testifying that any and all Materials submitted are my exclusive property and that I am the owner of the copyright to the Materials, or I have the right to grant this consent on behalf of the owner, or I know that the Materials are in the public domain, and that submissions do
not infringe on any third party’s copyright, trademark, or other intellectual property rights. This consent does not conflict with any other consent I have granted or any other rights to the Material. I warrant that this consent for the use of the Materials does not in any way conflict with
any existing commitment on my part.
By consenting, I agree to indemnify and hold MEMC harmless against claim, liability, or losses arising from a third party claim that the use of the Material or any part thereof by MEMC violates any right of such third party. I agree that MEMC may change, reproduce,
distribute, and sublicense the Material to its subsidiaries, affiliates, customers and to third parties granting them the same rights which MEMC has received.
By consenting, I agree that no promotional concept or document containing the use of the Materials need be submitted to me for approval. I agree that MEMC shall have no obligation to make any use of any of the Materials. I agree that MEMC reserves the right to alter, keep or destroy any and all Materials submitted.
I agree that no compensation will be paid by MEMC for use of the Material. I agree that I will not at any time make any claim for compensation for the rights granted to MEMC. No benefit has been given or promised to me in consideration of my granting this consent and release to MEMC.
I agree, either as an individual, or acting on behalf of an organization or company, that any submissions shall be governed by and constructed under and in accordance with the laws of the State of Texas.
I agree that no promise or representation which is not expressed in this consent and release has been made to me, and I have read this document, understand it and am granting my consent to MEMC voluntarily.
